Terms of Service

1. Acceptance of Terms

By accessing or using VeroChart ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. These terms apply to all users including waitlist members, free tier users, and paid subscribers.

2. Description of Service

VeroChart provides real-time and delayed equity market data visualization tools, including scatter plot tape charts, order flow indicators, real-time scanners, and related features. The Service is intended for informational and analytical purposes to support your own trading decisions.

4. Market Data

Real-time and delayed market data provided through VeroChart is licensed from third-party data providers. By using the Service you agree to the following restrictions on that data:

• Data is for your personal, non-commercial use only
• You may not redistribute, resell, or sublicense market data to any third party
• You may not use data feeds to train machine learning models for commercial resale without a separate agreement
• You may not use automated systems to scrape or bulk-extract data from the platform

Market data is provided "as is." We make no guarantees about accuracy, completeness, or timeliness. Latency, gaps, or errors may occur.

5. Accounts and Eligibility

You must be at least 18 years old to use VeroChart. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at hello@verochart.com if you suspect unauthorized access.

6. Subscriptions and Payment

• Paid subscriptions are billed monthly and renew automatically
• Founding member pricing is locked for the life of your continuous subscription
• If you cancel and later resubscribe, the then-current rate applies
• We do not offer refunds for partial billing periods, except where required by law
• Failed payments may result in suspension of real-time data access

7. Cancellation

You may cancel your subscription at any time from your account dashboard. Cancellation takes effect at the end of the current billing period. You retain access to the Service through that date.

8. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose including market manipulation
• Attempt to gain unauthorized access to any part of the platform
• Interfere with or disrupt the Service or its infrastructure
• Share your account credentials with others
• Use the Service to build a competing product using our data or interfaces

9. Intellectual Property

VeroChart's platform, design, indicators, and software are proprietary. We grant you a limited, non-exclusive, non-transferable license to use the Service for your personal trading purposes. Nothing in these terms transfers any intellectual property rights to you.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or that market data will be accurate or complete at all times.

11. Limitation of Liability

To the fullest extent permitted by law, VeroChart shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including trading losses, arising from your use of the Service. Our total liability for any claim shall not exceed the amount you paid us in the 30 days prior to the claim.

12. Changes to Terms

We may update these terms as the Service evolves. We will notify active subscribers of material changes via email at least 14 days before they take effect. Continued use of the Service after that date constitutes acceptance of the updated terms.

13. Governing Law

These terms are governed by the laws of the United States. Any disputes shall be resolved through binding arbitration, except where prohibited by law.
